5．付款

訂單確認(rèn)之后，乙方須按照有關(guān)確認(rèn)書所規(guī)定的時間開立以甲方為受益人的保兌的、不可撤銷的即期信用證。乙方開出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨。

6．傭金
commission
在本協(xié)議期滿時，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運貨物所收到的發(fā)票累計總金額付給乙方_________％的傭金。

7．市場情況報告
reports on market conditions
乙方每3個月向甲方提供一次有關(guān)當(dāng)時市場情況和用戶意見的詳細(xì)報告。同時，乙方應(yīng)隨時向甲方提供其他供應(yīng)商的類似商品樣品及其價格、銷售情況和廣告資料。

8．宣傳廣告費用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的`圖案及文字說明，由甲方審閱同意。

9．協(xié)議有效期

�。�1）甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方_________％的傭金。

(8) Quality and Weight: For the quanlity and weight of the goods shipped, the inspection certificate(s) issued by the Import and Export Commodity Inspection Bureau of the People’s Republic of China at the port of shipment shall be part of the documents to be presented for negotiation under the relevant letter of credit.
品質(zhì)與重量：中華人民共和國進(jìn)出口商品檢驗局應(yīng)就出口商品的品質(zhì)與重量出具檢驗證書，該檢驗證書應(yīng)作為議付單據(jù)在信用證中有所提示。
(9) Discrepancy and Claims: Should the quality and /or quantity (weight) be found not in conformity with that of the contract, the Buyers are entitled to lodge with the Sellers a claim which should be supported by survey reports issued bu a recognized survey or approved by the Sellers. The claim, if any, shall be lodged within 30 days after arrival of the cargo at the port of destination.
不符與索賠：若發(fā)現(xiàn)品質(zhì)、數(shù)量或重量與合同不符，買方應(yīng)于貨到目的港后30天內(nèi)提出索賠，并同時提交由權(quán)威部門或賣方提供的勒察報告。
(10) Force Majeure: The sellers shall not be held liable for non-delivery or delayed delivery of the goods due to accidents beyond their control. However, the Sellers shall deliver to the Buyers the documentary evidence(s) of force majeure cause(s).
不可抗力：如因不可抗力原因致使賣家無法交貨或延遲交貨，賣方概不負(fù)責(zé)，但賣方應(yīng)就不可抗力原因向買方提交證明材料。
(11) Arbitration: All disputes in connection with this contract or its execution shall be settled by
negotiation. In case no settlement can be reached, the case under dispute shall then be submitted to China International Economic and Trade Commission in Beijing for arbitration in accordance with its Arbitration Rules. The decision shall be final and binding upon both parties. The arbitration fees shall be borne by the losing party.

在貨到目的口岸45天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)，規(guī)格和數(shù)量與合同不符，除屬保險公司或船方責(zé)任外，買方有權(quán)憑中國商檢出具的檢驗證書或有關(guān)文件向賣方索賠換貨或賠款。
Claims:
Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable.

(13)不可抗力：
由于人力不可抗力的原由，發(fā)生在制造、裝載或運輸?shù)倪^程中導(dǎo)致賣方延期交貨或不能交貨者，賣方可免除責(zé)任。在不可抗力發(fā)生后，賣方須立即電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文件，在上述情況下，賣方仍須負(fù)責(zé)采取措施盡快發(fā)貨。
Force Majeure:
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.
(14）仲裁：
凡有關(guān)執(zhí)行合同所發(fā)生的.一切爭議應(yīng)通過友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國國際貿(mào)易促進(jìn)委員會按有關(guān)仲裁程序進(jìn)行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔(dān)。

Purchasing Contract terms and conditions of ___garments Season: ___服裝采購合同條款：
1. Description, quantity, unit price, total amount and other details of the goods ordered please refer to detail order, invoice and packing list. The name of the issuing company of invoice must be the same as the seller.
采購品名、規(guī)格、數(shù)量、單價、總價、交期等參考每次采購相應(yīng)訂單、發(fā)票及裝運單，發(fā)票的填開單位必須與本合同中賣方的名稱相一致。

Delivery: The seller shall deliver the goods to the warehouse as previously agreed between the two parties.
交貨方式：賣方應(yīng)把貨物送交至雙方事先約定的倉庫。
The quality of all the garments shall answer for the updated, valid Standard of the Nation and the industry. In case the garments are unqualified or for other reason that shall ascribe the seller’s fault, which brings losses of or damages (including but not limited to fine, expropriate, damage to Goodwill, lawyer’s fee and other losses for the buyer ’s breach of law or contract because of the seller fault) to the buyer, the buyer shall has the right to ask seller for damages.
所有服裝質(zhì)量應(yīng)符合最新、有效的國家標(biāo)準(zhǔn)、行業(yè)標(biāo)準(zhǔn)的規(guī)定，若賣方交付的服裝質(zhì)量不合格或其他任何可歸咎于賣方的責(zé)任導(dǎo)致買方遭受的任何損失（包括但不限于罰沒款、扣款、商譽損失、律師費及其他因賣方原因?qū)е沦I方違約、違法所遭受的損失），買方有權(quán)要求賣方承擔(dān)。
Seller shall provide 7 original copies of "Approved" Quality Inspection Certificate for each fabric used to produce.

department, the samples that the seller send to quality test lab shall be representative, can represent the quality of the goods, and the test must follow the Basic Standard GB18401 and include the composition of the fabric. The buyer will settle the payment according to the contract after received the test report and other related documentations (Packing list, Invoice of Goods etc.).

All the goods, documents and materials that the Seller gets to may concerns intellectual property right of the buyer and ___ Group, especially may contains trade marks, copyright and business secret of the buyer and ___ group. The seller shall keep secret and shall procure that its employee, agent and any other persons who may have access to the above-mentioned information keep
confidentiality and shall not use it for any purpose at any time or disclose to any third party. The seller shall not sell, transfer any products or materials to any third party except for the buyer and ___ group that concerns trade marks, other logo or marks, copyright and other intellectual property right of the buyer and ___ group, even if for the out season products, substandard products, rest products and unused/waste products or materials. In case the seller breaches, the buyer has the right to ask for indemnification including but not limited investigation fees, lawyer’s fees，compensation as well as all other fees according to the stipulations or Chinese laws.
賣方接觸到的買方及米羅利奧集團(tuán)的物品、文件資料均可能涉及買方及其關(guān)聯(lián)公司的知識產(chǎn)權(quán)，尤其是可能包含的買方商標(biāo)、米羅利奧集團(tuán)的其他商標(biāo)，著作權(quán)及商業(yè)秘密。賣方應(yīng)對其知悉的.買方及其關(guān)聯(lián)公司的商業(yè)秘密進(jìn)行保密，并應(yīng)促使賣方所有接觸到買方秘密信息的任何雇員、代理人、客戶或其他人士對該信息保密，不得在任何時候為任何目的使用或者向任何第三人披露。賣方不得向除買方及米羅利奧集團(tuán)以外的任何單位和個人銷售、轉(zhuǎn)讓涉及買方及米羅利奧集團(tuán)的商標(biāo)、標(biāo)識標(biāo)記、著作權(quán)等知識產(chǎn)權(quán)的產(chǎn)品或資料，即使對于過季品、等外品、富余品和廢棄不用的產(chǎn)品或資料也不例外。若賣方違反約定，買方有權(quán)根據(jù)約定及中國法律規(guī)定要求賣方承擔(dān)包括但不限于調(diào)查費、律師費、賠償金在內(nèi)的一切賠償責(zé)任。
7. Both parties will try to resolve any dispute concerning the contract amicably. If the dispute can not be resolved by negotiation, any party may initial legal action.
買賣雙方在履行本合同時如有爭議應(yīng)先以友好協(xié)商方式解決,如協(xié)商不成買賣雙方可將爭議送交由提出訴訟方所在地之人民法院進(jìn)行訴訟。
All appendixes to this contract should be bonded to the contract as a whole. 本合同所附帶之所有附件及附帶協(xié)議或合同將作為本合同不可分離之一部份. The contract includes two originals signed by the authorized signatories from each party on the following date, each party shall retain one fully signed originals and each copy has equal legal effect.
需由買賣雙方授權(quán)代表在以下日期簽屬一式兩份原件,買賣雙方各持有一份完整并經(jīng)過簽屬完整的合同，買賣雙方所持有之合同并具同等法律效力.。
This agreement is written in one form of two versions in English and Chinese, if both versions of English and Chinese are found inconsistent, the Chinese version should be the basis to follow.
