GENERAL CONDITIONS OF SALE
1. DEFINITIONS
The following words have the following meanings:
"Agreement" the agreement to which these conditions apply
and any appendices thereto;
“Buyer”
"Material"
“Seller” the buyer specified in the Agreement; the commodities specified in the Agreement; the seller specified in the Agreement.
2. DELIVERY, TITLE AND RISK
2.1 The 2000 edition of the International Chamber of Commerce official
rules for the interpretation of trade terms (Incoterms) are incorporated into the Agreement by reference.
2.2 The Material shall be delivered as specified in the Agreement.
2.3 Transfer of risk from Seller to Buyer shall be in accordance with the
relevant Incoterm.
3. BANK CHARGES
3.1 All bank charges for the opening of the L/C shall be for Buyer’s
account, and all other bank charges shall be for Seller’s account.
4. FORCE MAJEURE
4.1 Neither party to this contract shall be liable for any delay in performing
or failure to perform its obligations due to events of Force Majeure including but not limited to war, blockade, revolution, riot insurrection,
civil commotion, strike, lockout, explosion, fire, flood, storm, tempest, earthquake, regulations or orders, including but not limited to prohibition of export or import and/or any other cause or causes beyond reasonable control of the Seller or the Buyer and/or Buyer’s receiver whether or not similar to the causes enumerated above. Failure to deliver or to accept delivery in whole or in part because of the occurrence of an event of Force Majeure shall not constitute a default hereunder or subject either party to liability for any resulting loss or damage.
Upon the occurrence of any event of Force Majeure, the party affected by the event of Force Majeure shall within 72 (seventy two) hours of occurrence notify the other party hereto in writing of such event and shall specify in reasonable detail the facts constituting such event of Force Majeure. Where such notice is not given within the time required, Force Majeure shall not justify the non-fulfillment of any obligations under this contract.
Both parties agree to use their respective reasonable efforts to cure any event of Force Majeure to the extent that it is reasonably possible to do so.
4.2 In the event of Force Majeure preventing the Seller from shipping or
delivering the material, or preventing the Buyer from accepting such material, respectively, deliveries shall be suspended for the duration of such Force Majeure event but if such Force Majeure shall last more than 90 (ninety) calendar days, the tonnage involved may be cancelled with immediate effect by the party not having declared Force Majeure by written notice to the other party.
5. DEFAULT – REMEDIES
5.1 Delay for opening of L/C
In the event Buyer due to reasons within its responsibility fails to open the Letter of Credit on time as stipulated in this Contract, unless the parties agreed on a grace period, Buyer shall pay a penalty to Seller

1. 什么是電解鎳？
電解鎳是使用電解法制成的鎳。將富集的硫化物礦焙燒成氧化物，用炭還原成粗鎳，再經(jīng)電解得純金屬鎳。在化學(xué)工業(yè)中鎳用作加氫反應(yīng)的催化劑。電鍍鎳是在指在電場(chǎng)的作用下使離子發(fā)生定向遷移沉積成鍍層的過(guò)程。有良好的導(dǎo)電性，顏色是黑灰色。鍍液除了主鹽等主要成分外還要加各種電鍍添加劑和各種助劑，主要是使鍍層出光，整平，細(xì)化結(jié)晶，防止針孔，促進(jìn)陰極極化。電解鎳主要用于原子能工業(yè)、堿性蓄電池、電工合金、高溫高強(qiáng)度合金、催化劑以及粉末冶金添加劑冶金、金剛石工具、非鐵基合金、也可以做化學(xué)反應(yīng)的加氫催化劑等。包裝采用真空袋裝，外用鐵桶包裝。

二、中國(guó)電解鎳市場(chǎng)概況 1、我國(guó)鎳資源量分布
中國(guó)國(guó)土資源部的最新數(shù)據(jù)，中國(guó)的鎳儲(chǔ)量為299萬(wàn)噸，占全球總量6900萬(wàn)噸的4.2%，位居世界第9位。
硫化銅鎳礦約占總儲(chǔ)量的`91%，其余為氧化礦。80%的硫化鎳礦產(chǎn)于甘肅的金川銅鎳礦床；中國(guó)氧化鎳礦主要分布在四川西南部攀枝花地區(qū)以及云南元江地區(qū)
2、中國(guó)原生鎳需求
2007年以來(lái)，中國(guó)的鎳需求量已經(jīng)上升為世界首位。中國(guó)在2010年的鎳消費(fèi)量達(dá)到54萬(wàn)噸的水平。但是自給率水平低，基本維持在50%左右。意味著中國(guó)市場(chǎng)五成的鎳需要進(jìn)口。
導(dǎo)致這一現(xiàn)象的原因主要是占鎳消費(fèi)66%的不銹鋼，產(chǎn)量增長(zhǎng)過(guò)快。 3、中國(guó)鎳市場(chǎng)的供需狀況
根據(jù)CRU英國(guó)商品研究局的數(shù)據(jù)2010世界原生鎳產(chǎn)量為140.9萬(wàn)噸，中國(guó)產(chǎn)量為31.37萬(wàn)噸，約占全球產(chǎn)量的22.26%，俄羅斯產(chǎn)量為25.85萬(wàn)噸，約占全球產(chǎn)量的18.34%。中國(guó)已經(jīng)超過(guò)俄羅斯成為全球第一大原生鎳生產(chǎn)國(guó)。 4、我國(guó)電解鎳產(chǎn)量
2006年以前我國(guó)原生鎳的產(chǎn)量基本以電解鎳為主，06年以后隨著我國(guó)不銹鋼產(chǎn)能產(chǎn)量開(kāi)始急劇擴(kuò)張，對(duì)鎳的需求也越來(lái)越大，不但需要大量進(jìn)口，由民營(yíng)企業(yè)開(kāi)始，大量使用紅土鎳礦冶煉含鎳生鐵，作為生產(chǎn)不銹鋼的原料。 5、我國(guó)電解鎳消費(fèi)量和進(jìn)出口

This Sale-Purchase Agreement Contract SPAC is entered into this day of2008, between our Principal the Seller and Buyer as follows:

3.0 QUANTITY
Both Parties hereby agree that the Total Quantity of Copper Cathode Plates under the SPAC shall be1000MT/- 5% spot shipment based on ex-warehouse basis Hong Kong Port. Weight for invoicing purposes shall be by the actual net weight.
3.0 數(shù)量
雙方同意合同總數(shù)量為1000公噸，總數(shù)量偏差上下不超過(guò)5%，在賣方香港倉(cāng)庫(kù)交貨。發(fā)票金額按實(shí)際數(shù)量計(jì)算。
4.0DELIVERY
Stock is available from open warehouse in Hong Kong Port and Buyer will be notified 2 two days in advance to come for inspection and payment.
The Goods will be packed in 20 footer containers in a way that guarantees safety of the Copper Cathodes during transportation and which the Seller warrants are of an acceptable standard to itself.
4.0 交貨
這現(xiàn)貨即可在香港碼頭公開(kāi)倉(cāng)庫(kù)運(yùn)作。賣方會(huì)于兩天前會(huì)通知買方驗(yàn)貨與付款。 貨品是打包裝在20呎貨柜內(nèi)，這是保證電解銅在運(yùn)送中的安全方式，同時(shí)亦是賣方保證可以接受的標(biāo)準(zhǔn)。
5.0PRICE
Both Parties hereby agree to the following Price Structure:

5.0 價(jià)格

每公噸美元FOB香港。6.0 PAYMENT TERMS
Payment will be by bank draft, cashier’s order or TT. Payment instrument must be confirmed received in Seller’s account before copper can be delivered or taken out of warehouse.
6.0付款方式
付款方式為銀行本票,現(xiàn)金匯票或電匯現(xiàn)金,電解銅交貨或移出倉(cāng)庫(kù)前賣方必需確認(rèn)銀行已收到貨款指示。
7.0 INSPECTION
SGS inspection certificate will be provided to Buyer. Inspection is conducted during the transfer from the Bonded Warehouse to the Open Warehouse.
The weighing and sampling shall be carried out by SGS in accordance with standard and customary international practices.
7.0檢驗(yàn)
SGS的檢驗(yàn)報(bào)告會(huì)提供給買方，從保稅倉(cāng)庫(kù)移至公開(kāi)倉(cāng)庫(kù)檢驗(yàn)已處理。 重量與取樣由SGS按照國(guó)際慣例執(zhí)行。
Quantity Inspection:
The net weight assayed by SGS shall the quantity accepted by both Parties for invoice and payment.
雙方接受數(shù)量以SGS檢驗(yàn)報(bào)告做為付款的發(fā)票。
Quality Inspection:
This SGS certificate of Inspection shall confirm that the product is Copper Cathode Cu99.99%, not less than 99.96%.The Buyer shall have the right to reject the
consignment as not complying with the standard contracted if the verified quality is less than 99.96.
